What this template looks like

Sections include parties and definitions, services scope, fees and payment terms, performance and SLA, security and confidentiality, intellectual property, indemnification, term and termination, dispute resolution, and signatures. Each section is fully drafted with placeholder fields highlighted. Comments throughout explain the legal reasoning behind specific clauses so you and your counsel can evaluate them quickly.

Why this template

Why we built it

Most MSPs operate under MSAs that are either lifted from a vendor portal or written by a generalist attorney who has never run an MSP. Both end up unenforceable in the edge cases that actually matter — security breaches, scope creep, and renewal disputes. This template was reviewed by a panel of three MSP-specialist attorneys and refined across 18 months of operator feedback.

How to use it

Customization guide

First pass: replace placeholder fields and remove sections that do not apply to your service catalog. Second pass: run the document past your own counsel — every clause has a comment explaining the why, which makes legal review faster and cheaper. Third pass: pilot the template with one new agreement and refine. Plan on iterating; no MSA survives first contact unchanged.
